| Entitlement description | Distribution of BIMB Holdings Berhads ("BHB" or "Company") entire shareholdings in Bank Islam Malaysia Berhad ("Bank Islam") and Syarikat Takaful Malaysia Keluarga Berhad ("STMKB") respectively to the Distribution Entitled Shareholders via a reduction and repayment of the entire share capital of the Company in accordance with Section 115 and Section 116 of the Companies Act 2016, as well as using the Company's retained earnings, which will entail the following:
(a) the distribution of one (1) Bank Islam Share for every one (1) BHB Share held by the Distribution Entitled Shareholders; and
(b) the distribution of one (1) ordinary share in STMKB ("STMKB Share") for every 4.2231 BHB Shares held by the Distribution Entitled Shareholders. |

Unless otherwise defined, all abbreviations and definitions used herein shall have the same meaning as defined in the Company's announcement in relation to the Proposals dated 11 December 2019 and the Company's Circular & Explanatory Statement in relation to the Proposals dated 8 March 2021. Fractional entitlements and the residual of STMKB Shares held by BHB arising from the Distribution and Capital Repayment, if any, will be dealt with in such manner as the Board, in its absolute discretion deems fit and expedient, and in the best interest of the Company. If your name appears in the Record of Depositors of the Company as at the close of business on the Distribution Entitlement Date, you shall be entitled to participate in the Distribution and Capital Repayment and you shall qualify for entitlement only in respect of:- (a) BHB Shares transferred into your CDS Account before 4.30 p.m. on Tuesday, 28 September 2021 in respect of transfers; and (b) BHB Shares bought or transferred on Bursa Securities on a cum entitlement basis according to the Rules of Bursa Depository. Upon completion of the Distribution and Capital Repayment, the Distribution Entitled Shareholders will directly hold the Bank Islam Shares and STMKB Shares, in proportion to their shareholdings in the Company as at the Distribution Entitlement Date and BHB will cease to be a shareholder of Bank Islam and STMKB. After the completion of the Distribution and Capital Repayment, BHB will undertake the Transfer of Listing, whereby BHB will be withdrawn from the Official List of Bursa Securities and Bank Islam will be admitted to the Official List of Bursa Securities in place of BHB, with the listing of and quotation for the entire issued share capital of Bank Islam on the Main Market Bursa Securities under the 'Financial Services' sector. Bank Islam will be assuming the stock short name, stock code and the International Securities Identification Number (ISIN) code of BHB. The trading of BHB Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Monday, 27 September 2021, which is one (1) Market Day prior to the Distribution Entitlement Date until the completion of the Transfer of Listing. The notice to shareholders in relation to the suspension of trading of BHB Shares and the Distribution Entitlement Date in relation to the Distribution and Capital Repayment will be despatched to the shareholders on 13 September 2021. The sealed court order confirming the reduction and repayment of the entire share capital of the Company under Section 115 and Section 116 of the Act to give effect to the Distribution and Capital Repayment has been lodged with the Registrar of Companies today. This announcement is dated 10 September 2021. |
