We refer to the announcement dated 23 December 2022 in relation to the dividend-in-specie ("Dividend-in-Specie") as well as the circular to shareholders of the Company in relation to the Dividend-in-Specie dated 4 January 2023 ("Circular"). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcement and the Circular.
On 13 March 2023, the Company had completed the first tranche of the Dividend-in-Specie consisting of 69,750,000 Agmo Shares (''First Tranche Agmo Shares'') through MYEG Capital following the distribution of 69,724,752 Agmo Shares to the entitled shareholders of the Company for the First Tranche Agmo Shares. For information purposes, the remaining 25,248 Agmo Shares arising from fractional entitlements are currently retained by MYEG Capital (''Remaining Agmo Shares'').
The Company wishes to inform that the moratorium for the remaining 14,250,000 Agmo Shares (''Second Tranche Agmo Shares'') held by the Company have been uplifted on 18 August 2023 and is now available for distribution.
Accordingly, the shareholders of the Company whose names appear in the Record of Depositors of the Company as at 5:00 p.m. on Wednesday, 6 September 2023 ("Entitlement Date") shall be entitled to the Second Tranche Agmo Shares and Remaining Agmo Shares ("Entitled Shareholder(s)"). The Entitled Shareholders will receive their entitlements at no cost. Based on the total issued share capital of the Company of 7,405,454,278 Shares (excluding 72,116,800 treasury shares) as at the date of this Announcement, the Second Tranche Agmo Shares and Remaining Agmo Shares amounting to 14,275,248 Agmo Shares are expected to be distributed on the basis of approximately 0.0019 Agmo Share for every 1 Share held by Entitled Shareholders on the Entitlement Date. For illustrative purpose, an Entitled Shareholder holding 10,000 Shares will be entitled to receive 19 Agmo Shares.
