Offer Document in relation to the Unconditional Mandatory Take-Over Offer by Liannex Maritime Sdn Bhd ("Offeror") through AmInvestment Bank Berhad to acquire
(I) All the remaining Ordinary Shares in Icon Offshore Berhad ("Icon") ("Icon Share(s)") not already held by the Offeror as well as Liannex Corporation (S) Pte Ltd, Mr. Lim Han Weng and Madam Bah Kim Lian (collectively, "Joint Ultimate Offerors") and such number of new Icon Shares that may be issued pursuant to (I) The exercise/conversion of the Outstanding Convertible Securities; (II) RTL3; and (III) ESGP prior to the closing of the Offer ("Offer Share(s)"); and
(II) All the remaining Outstanding Warrants 2020/2028 issued by Icon not held by the Offeror and the Joint Ultimate Offerors ("Offer Warrant(s)"),
for a cash consideration of RM0.635 per Offer Share and RM0.001 per Offer Warrant(s) ("Offer") |

1. all the remaining Icon Shares not already held by the Offeror as well as the Joint Ultimate Offerors and such number of new Icon Shares that may be issued prior to the closing of the Offer:
a. the exercise/conversion of the Outstanding Convertible Securities;
b. RTL3; and
c. ESGP.
