On behalf of the Board of Directors of the Company (“Board”), M & A Securities Sdn Bhd wishes to announce that NatGate proposes to undertake the following:

(i) Proposed transfer of the listing of and quotation for the entire issued share capital of the Company from the ACE Market to the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) via the accelerated transfer process pursuant to Chapter 8 of the Equity Guidelines issued by the Securities Commission Malaysia (“SC”) (“Equity Guidelines”) (“Proposed Transfer”); and

(ii) Proposed amendment to the Constitution of the Company to facilitate the implementation of the Proposed Transfer (“Proposed Amendment”).

The Proposed Transfer and Proposed Amendment are collectively referred to as the “Proposals”.
