Unless otherwise defined, the definitions set out in the announcements dated 26 March 2024 and 27 March 2024 in relation to the Proposed Private Placement shall apply herein.

On behalf of the Board, M&A Securities is pleased to announce that Bursa Securities had, vide its letter dated 2 April 2024, resolved to approve the listing and quotation of up to 100,191,000 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

(i) Hexcare and M&A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii) M&A Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii) Hexcare and M&A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed;

(iv) Hexcare / M&A Securities to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Sections 75 and 76 of the Act, in the event the existing authority has expired prior to the full implementation of the Proposed Private Placement; and

(v) Payment of additional listing fee based on the market value of the Placement Shares to be listed, if applicable. In this respect, the Company is required to furnish Bursa Securities a cheque drawn to the order of Bursa Malaysia Securities Berhad for the outstanding listing fee together with a copy of the details of the computation of the amount of fees payable.
