For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the announcements unless otherwise defined herein.

Reference is made to the Company’s Announcements dated 22 June 2023, 27 June 2023 and 12 October 2023 in relation to the same.

With reference to the Shares SPA, the period for the Vendors to fulfill the conditions precedent under the Shares SPA is three (3) months from 22 June 2023, being the date of the Shares SPA, or such other date as the parties to the Shares SPA may mutually agree in writing (“Conditional Period”). On 12 October 2023, the Parties have agreed to extend the Conditional Period from 22 September 2023 up and until 31 March 2024 (“First Extension”). 

The Company wishes to announce that, on 14 March 2024, the Parties have mutually agreed to extend the Conditional Period upon the expiry of the First Extension for a further period of three (3) months from 1 April 2024 up and until 30 June 2024 for the Vendors to fulfil the remaining Condition Precedent pursuant to the terms of the Shares SPA. For avoidance of doubt, all other terms and conditions of the Shares SPA remain unchanged.

The Company will make further announcement in relation to the Shares SPA as and when required under the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.
