On behalf of the Board of Directors of Auro ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOBKH") wishes to announce that the Company proposes to undertake a private placement of up to 10% of the total number of issued shares of Auro ("Auro Share(s)" or "Share(s)") to third party investor(s) to be identified later, at an issue price to be determined later, pursuant to Sections 75 and 76 of the Companies Act 2016 ("Act").
For shareholders' information, on 30 August 2023, the Company had announced that the Company proposes to undertake a private placement of up to 10% of the total number of issued shares of Auro ("Previous Private Placement") and the Board had subsequently on 5 October 2023 decided to abort the Previous Private Placement. The decision of the Board was made in order to review the Group's financial position and to reconsider its fund raising exercises to meet its financial commitments. In this regard, this Proposed Private Placement shall be regarded as a separate fund raising exercise to be undertaken by the Company. A new listing application to Bursa Malaysia Securities Berhad ("Bursa Securities") in relation to the Proposed Private Placement is expected to be made within 1 month from the date of this announcement.
