Pursuant to paragraph 10.06 of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”),the Board of Directors of EForce (“Board”) wishes to announce that the Company had on 6 February 2024 entered into a Share Sale Agreement (“SSA”) with Honest Winner Limited (“Vendor” or “HWL”) (collectively referred to as the “Parties” and individually as the “Party”) for the acquisition of 2 ordinary shares in Orca Capital Holdings Limited (“OCHL”) (“Sale Shares”), representing 100.00% equity interest in OCHL, for a purchase consideration of RM18,150,000.00 (“Purchase Consideration”) which shall be partly satisfied by an issuance of 50,500,000 new ordinary shares in EForce (“EForce Shares” or “Shares”) (“Consideration Shares”) at an indicative issue price of RM0.335 per EForce Share (“Issue Price”) and the balance RM1,232,500.00 to be satisfied in cash (“Cash Consideration”), subject to the terms and conditions contained in the SSA.

Upon completion of the Proposed Acquisition, OCHL will become a wholly-owned subsidiary of EForce.
