Unless otherwise stated, all abbreviations used herein shall have the same meaning as defined in the offer document in relation to the Offer dated 1 December 2023 ("Offer Document").

We refer to the Offer Document, the press notice dated 22 December 2023 in relation to the Offeror informing that it had achieved the requisite criteria to withdraw the listing status of BPlant from the Official List as well as the press notice dated 5 January 2024 in relation to the closing date.

We have, on 17 January 2024, received the press notice from UOBKH and Maybank IB, on behalf of the Offeror ("Press Notice"), informing that the Offeror has, on 17 January 2024, posted the notice to the Dissenting Holders ("Section 223 Notice"), informing them that they may exercise their rights under subsection 223(1) of the CMSA, by serving a notice on the Offeror to require the Offeror to acquire their BPlant Shares on the same terms as set out in the Offer Document or such other terms as may be agreed or as the High Court, on application made to it by the Dissenting Holders or by the Offeror, thinks fit to order.

If the Dissenting Holders wish to exercise their rights in accordance with subsection 223(1) of the CMSA, they can serve a notice on the Offeror to require the Offeror to acquire their Shares, whereby such acquisition shall be done on the same terms of the Offer (including at the same offer price of RM1.55 for each Offer Share) as set out in the Offer Document.

To give the Offeror notice to acquire their Shares on the same terms of the Offer set out in the Offer Document, the Dissenting Holders may, by 5.00 p.m. (Malaysian time) on Friday, 5 April 2024, being a date not less than 3 months from the Closing Date, give notice that they require the Offeror to acquire the BPlant Shares held by them.
