The Board of Directors of HMCB (“Board”) wishes to announce that HMCB (the “Vendor”) has on 17 November 2023 entered into a Shares Sale Agreement (“SSA”) with
(i). Commonwell Sdn Bhd (Company No. 200773-U) (“CSB”) in relation to the proposed acquisition of 24,500,006 ordinary shares in CTSB (Company No. 193728-V) which represents 70% of entire issued and paid-up capital in CTSB for a total cash consideration of RM10,000,000.00;
(ii). CSB and Lim Gek Kooy (“LGK”) in relation to the proposed acquisition of 1,190,010 ordinary shares which represents 70% in total of entire issued and paid-up capital in QTSB (Company No. 199009-U) for a total cash consideration of RM900,000.00; and
(iii). CSB in relation to the proposed acquisition of 215,600 ordinary shares in MTTSB (Company No. 217922-M) which represents 70% of entire issued and paid-up capital in MTTSB for a total cash consideration of RM100,000.00.
