ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2021/2024 OF DGB ASIA BERHAD ("DGB" OR THE "COMPANY") ("WARRANTS C") AS SPECIFIED IN THE DEED POLL DATED 7 DECEMBER 2020 ("DEED POLL C") PURSUANT TO THE CONSOLIDATION OF EVERY 10 EXISTING ORDINARY SHARES IN DGB ("DGB SHARES" OR "SHARES") INTO 1 DGB SHARE ("CONSOLIDATED SHARE") HELD AT 5.00 P.M. ON 15 September 2023 ("ENTITLEMENT DATE") ("SHARE CONSOLIDATION") ("ADJUSTMENTS")
Pursuant to the Adjustments, (i) the existing exercise price of Warrants C of RM0.12 each will be revised to RM1.20 each; and (ii) the existing number of 478,188,586 Warrants C as at the Entitlement Date will be adjusted into 47,818,848 Warrants C (after disregarding the fractional entitlements arising from the Adjustments) which will be listed and quoted on the ACE Market of Bursa Malaysia Securities Berhad on 18 September 2023, being the next market day following the Entitlement Date. Further, in accordance with the provisions of the Deed Poll C, the Adjustments will take effect from 18 September 2023. The notice to the holders of Warrants C (setting out the details of the Adjustments) will be despatched in due course. This announcement is dated 15 September 2023.
