ADJUSTMENTS TO THE TERMS AND CONDITIONS OF EUROPEAN STYLE NON-COLLATERALIZED CASH SETTLED CALL WARRANTS EXPIRING ON 31 JULY 2023 OVER ORDINARY SHARES ("SHARES") OF MY E.G. SERVICES BERHAD ("MYEG") ("MYEG-C3W") PURSUANT TO A DISTRIBUTION OF 69,750,000 ORDINARY SHARES IN AGMO HOLDINGS BERHAD ("AGMO"), REPRESENTING MYEG'S 21.5% EQUITY INTEREST IN AGMO, HELD THROUGH MY E.G. CAPITAL SDN BHD, TO THE ENTITLED SHAREHOLDERS OF MYEG ("ENTITLED SHAREHOLDERS") BY WAY OF DIVIDEND-IN-SPECIE ("DIVIDEND-IN-SPECIE")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 17 Feb 2023
2)  The last date of lodgment : 20 Feb 2023
 

Remarks:

Effective 17 February 2023, the Exercise Price and Exercise Ratio will be adjusted based on the following formulae (and rounded to the nearest 4 dp):

(i) Adjusted Exercise Price = X x (P-D) / P

(ii) Adjusted Exercise Ratio = E x (P-D) / P

P = Closing price of the Share on the last Market Day on which the Shares are traded on a cum-entitlement basis

D = Closing price of ordinary shares of AGMO on the Market Day before the ex-date multiplied by 0.0093*.

X = RM 0.80, being the existing Exercise Price immediately prior to the Dividend-in-Specie

E = 1.7, being the existing Exercise Ratio immediately prior to the Dividend-in-Specie

No adjustments shall be made if the formulae stated above results in an adjustment which would amount to less than 2% of the Exercise Ratio and/or Exercise Price being changed.
