GTRONIC-C14 - Notice of Book Closure

ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE NON-COLLATERALISED EUROPEAN-STYLE CASH SETTLED CALL WARRANTS OVER ORDINARY SHARES OF GLOBETRONICS TECHNOLOGY BHD. ("GTRONIC") ("GTRONIC-C14") PURSUANT TO A SINGLE TIER SPECIAL DIVIDEND OF 1.5 SEN PER ORDINARY SHARE FOR THE YEAR ENDING 31 DECEMBER 2021 ("SPECIAL DIVIDEND")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 17 Nov 2021
2)  The last date of lodgment : 18 Nov 2021

Remarks :
In accordance with Condition 2, Part 1 of the Deed Poll dated 21 October 2020 - Adjustment of Exercise Price, Underlying Index, Exercise Level and/or Exercise Ratio, the Exercise Ratio and Exercise Price of GTRONIC-C14 will be adjusted in accordance with the following formula: 

Adjustment pursuant to Special Dividend 

1. Adjusted Exercise Ratio = E x [(P - D) / P] 

2. Adjusted Exercise Price = X x [(P - D) / P] 

Whereby in respect of this Condition 2.1.1(d)(i) and (ii): 

P: Closing price of GTRONIC on the last market day on which GTRONIC is traded on a cum-entitlement basis. 

D: RM0.0150, being the Special Dividend per GTRONIC share 

X: RM2.8500, being the existing Exercise Price immediately prior to the Special Dividend 

E: 5.0000, being the existing Exercise Ratio immediately prior to the Special Dividend 

No adjustments shall be made to the Exercise Ratio and/or Exercise Price of GTRONIC-C14 if such adjustments would amount to less than two percent (2%) of the Exercise Ratio and/or Exercise Price being changed. For avoidance of doubt, reference should be made to the Base Prospectus dated 23 October 2020, the First Supplementary Base Prospectus dated 3 June 2021, the Second Supplementary Base Prospectus dated 8 September 2021 and the terms and conditions therein shall prevail.
