ADJUSTMENT TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2018/2021 OF DGB ASIA BERHAD ("DGB" OR THE "COMPANY") ("WARRANTS B") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 25 JUNE 2018 CONSTITUTING THE WARRANTS B (''DEED POLL B'') PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,202,508,096 NEW ORDINARY SHARES IN DGB (''DGB SHARES'' OR ''SHARES'') (''RIGHTS SHARES'') AT AN ISSUE PRICE OF RM0.12 PER RIGHTS SHARE TOGETHER WITH UP TO 601,254,048 FREE DETACHABLE WARRANTS IN DGB (''WARRANTS C'') ON THE BASIS OF 6 RIGHTS SHARES TOGETHER WITH 3 FREE WARRANTS C FOR EVERY 1 EXISTING SHARE HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 22 DECEMBER 2020 (''RIGHTS ISSUE WITH WARRANTS'') (''ADJUSTMENTS'')
Pursuant to the Adjustments, (i) the existing number of 34,890,379 Warrants B has been adjusted to 80,115,247 Warrants B, whereby the additional 45,224,868 Warrants B will be listed and quoted on the ACE Market of Bursa Malaysia Securities Berhad on 22 January 2021; and (ii) the exercise price of the Warrants B has been revised from RM1.20 to RM0.34. The additional Warrants B were issued based on the entitlement ratio of 1.2961:1 (additional Warrants B: existing number of outstanding Warrants B held as at the entitlement date). The notice to the holders of Warrants B (setting out the details of the Adjustments) was despatched on 8 January 2021. This announcement is dated 21 January 2021.
