Unless otherwise stated, all the terms and definations used herein shall retain the same meaning as those defined in the previous announcement dated 10 September 2025.

Further to the Company's announcement dated 10 September 2025, the Board of Directors of SSF (“the Board”) wishes to provide the following additional information in connection with the Subscription Agreement with Spartan Hybrid:-

1. LPI

Spartan Hybrid is a limited liability partnership (“LLP”) incorporated pursuant to Limited Liability Partnership Act 2012, hence any subscription into the entity is in the form of LPI. A subscription for LPI into LLP entity would mean subscribing as a partner into the entity. This LLP has a General Partner namely Spartan Ives Capital Sdn. Bhd.

2. Basis of Issue Price

The basis of the value of the partnership interest is based on pre-determined by the general partners of Spartan Hybrid.  All LPI issued by Spartan Hybrid is at value of RM1.00 per LPI unit.

3. Nature of Investment by the VC Fund

VC Fund will be sector agnostic and the fund manager to invest based on the best interest of the investors for good investment opportunities with a stable return and a potential on capital gains. The VC Fund aims to invest primarily in the equity and debt securities listed below:

1. equities in above average potential growth unlisted companies;
2. any equity securities or funds, whether with securities or otherwise;
3. debt with strong credit ratings in profitable unlisted companies; and
4. debt in companies with high certainty of cash generating projects.

4. Form and Duration of Income Stream

The income stream derived from the LPI is in the form of dividends and only for the 12 months from the Subscription Agreement with the option to continue with the investment if there will be potential returns generated from this investment.
