those who refused to sell last year for 2.35 might get an offer from boss for 1.55 this time come Dec.
Johnny
and then i can choose to refuse again, i see how they can get my share, thats all, i bet they cant reach 90% and force me to sell my share, worst case i kept it and pass to my son in future, so what? if they can reach 90% and force me sell, ok they win, but i bet they cant as long as got other minor shareholder like me still holding and no sell

another option is Gent acquired more than 80% and no longer fulfill bursa requirements of at least 25% public spread. GenM can just be delisted by Bursa when GenM informed Bursa of not intended to rectify the public spread requirements. the share would be suspended and eventually delisted. you still hold the share but it would be troublesome for you to trade or to even know what is happening in the company without publicly available financial and annual reports and there s nothing you could do.

It’s not that simple to delist GenM even if GB shares crossed 75%. It still needs minority shareholders approval.

Daniel, it would be delisted by Bursa as breach of listing requirements. not voluntary delisting request by GenM. GenM doesn't really need approval since not their request or application.

There is zero benefits for Genting just to delist GenM without fully taking over it.

when the news broke out that Genm would be delisted, majority of the retailers would sell by then. not every retailers would want to hold unlisted shares that you can't trade or sell easily.

Genting Berhad already launched a takeover bid to privatize its subsidiary, GenM offering RM2.35 per cash share recently. They will no longer breach the listing requirements of < 25% shareholdings spread and trigger Bursa delisting, as and when it happens going forward. Minority shareholders would not want to hold on to unlisted shares thereafter.

i am buy in high price and planning to wait for delisted and become sdn bhd shareholder, see what will happen next, after delisted, big shark also cant manipulate the price to scare out the retailer, if big shark want to buy my share, have to 1 by 1 send letter to retailer to ask for sell with reasonable price, if not reasonable, retailer can reject, i am curious tat time how big shark can collect more share from retailer without manipulate share price to scare them out, i take my own risk

after delist, big shark will be very hard to collect more share to reach 90%, cause no more panic sell from retailer, if he dont want to pay dividend in future to me, mean he also cannot pay dividend to his own 75%-80% share, then genting share will dump caused spend so much to privatised but no any return, so in other word, gent get dividend, i will also stil get dividend

Once the company is delisted, the controlling shareholders will have greater control, with less regulatory scrutiny and fewer compliance requirements. They could use the company's funds for their own interests. As a minority shareholder, you will have very little influence over their decisions. Who will protect your interests then?

so before delisted, u think retailer has influence in the decision making? the situation before and after is same, sure got regulation to protect me, let say dividend, if they want to give themselve dividend, they also need to force to give me, the is the law

u will say, how about they dun give out dividend, in this case, then gent share also will not get any dividend, gent lent so much money to privatise, at the end no any return, in order dun wan give dividend to 20% sturborn shareholder which they hard to collect their share after delist, they dun pay dividend for themself (80%), do u think they will allow this to happened?

To some extent, it’s very true of what Johnny has said. If they really siphon out the money, GB also will not get any profit /dividend from GenM. Genting shareholders will be mad too getting nothing after spending billion of dollars buying 75%.

I think GenM case is very different from other privatisation/takeover efforts. Genting needs dividend from GenM to sustain their operations and dividend payouts. This is the biggest bargaining power for GenM minority shareholders.

The time will tell ..
base on the recently movement... gent possible to fully take over genm ... if not why increase stake until 73.88% and not just 51% ?

@Jocus don't jump the gun and read my comment again carefully. it isn't about the 90% but what could gent boss do if they only secured 75-80% of shares. to delist not necessarily must be 90% which is official approach. there could be other approaches too

What benefits LKT stand to gain from delisting GenM without fully control?

Delisting GenM will not help US IPO if GB is unable to have full control of GenM

that you got to ask Uncle Lim on why he wanna spend billions to privatize GenM even when Genting has low cash flow. only he knows the real reason. you and me only can best guess what he s trying to do. my best guess is he is consolidating GenM for its US IPO as Genting America

Basically GenT and GenM in this predicament because of very poor management . Especially LKT. Failed miserably but still holding to CEO post. One of the worst decision he made is to privatised GenM which cause GenT in very serious debt. Drag down GenM counter as well

Why would they want to offer 1.55 for privatisation now ? They can easily mopped up from the market @ ~ 1.10 level since public spread of 25% no longer an issue based on previous privatisation offered !
Like · 1 week · translate
Eddy Khoo
can't mop up more than 2% if not mistaken due to restriction set by Bursa. unless they utilize the SBB to buy more.
Like · 1 week · translate
PANORAMA
Just mopped up to own > 75% (ie. < 2%) + SBB. Following the close of the offer in December 2025, Malaysian takeover regulations blocked Genting Bhd from aggressively vacuuming up shares on the open market if it would trigger a mandatory offer. Under listing rules, they were legally restricted from buying more than 2% within a 12-month window following a lapsed offer although they already owned 73.8%.

A fresh and aggressive privatization push is not expected immediately (12-month rule), as future attempt would likely hinge on the commercial turnaround and massive USD$5.5 billion funding requirements for Resorts World New York City. LKT & Genting just committed to Genting rights issue and cannot possibly borrow more $ to fund the privatisation push (another 25%) now unless exchange with Genting shares !

SBB also cannot buy too much, or else public floats <25% and trigger suspension and rectification.
Like · 1 week · translate

That’s why not the timing to trigger past the 75% threshold for Bursa delisting as yet and GenM share price has less support from Substantial Shareholders and are reaching new lows.
