Is Zetrix AI heading toward a covenant-triggered RM2b financing crunch?
Beyond share price volatility, credit covenants and cash reserves reveal a deeper structural dilemma. Zetrix AI Berhad established an RM2 billion Sukuk Wakalah programme that contains a specific financing covenant: founder TS Wong must remain the company’s single largest shareholder unless Sukukholders formally consent otherwise.
As of 8 October 2026, TS Wong held 8.245% (651.14 million shares). While this remains the single largest block, continued disposals create an imminent trigger point. If another shareholder overtakes him, a Dissolution Event can be declared, giving Zetrix just 7 days to remediate the breach before the trustee can accelerate repayment and demand the entire RM2 billion immediately.
The critical issue is liquidity:
• As of June 2026, Zetrix reported RM541.6 million in cash against RM2.19 billion in total borrowings.
• In October 2026, Zetrix admitted it was unable to settle an overdue obligation of RM314 million to the Ministry of Transport (MOT).
If Zetrix struggles to meet an RM314 million payment, the prospect of absorbing an accelerated RM2 billion Sukuk liability without refinancing or emergency capital is exceptionally fragile. When ownership rules collide with liquidity stress, the risk of a default-like scenario escalates significantly.
