| The renounceable entitlements to the Rights Share with New Warrants must be subscribed by the entitled shareholders whose name appear in the Record of Depositors of mTouche at 5.00 p.m. on 17 February 2010 (“Entitled Shareholders”) in full or part (subject to the subscription of the Rights Shares with New Warrants in an equal proportion), as a package and not to be subscribed separately or disproportionately. Entitled Shareholders who renounce all or any part of their entitlements to the Rights Shares provisionally allotted to them under the Rights Issue with New Warrants will simultaneously relinquish their corresponding entitlements to the Rights Shares including their corresponding entitlements to the New Warrants. The Abridged Prospectus accompanying the Notice of Provisional Allotment and Rights Subscription Form will be sent to the Entitled Shareholders on 19 February 2009. Following the Rights Issue, the exercise price and the number of Warrants 2008/2018 will be adjusted in accordance with the provisions of the deed poll dated 21 November 2007 constituting the Warrants 2008/2018. Warrants 2008/2018 holders whose names appear in the Record of Depositors of mTouche at 5.00 p.m. on 17 February 2010 (“Entitlement Date”) will be entitled to the adjustments to the exercise price and number of Warrants 2008/2018. The actual adjustments to the exercise price and number of Warrants 2008/2018 will be finalized on the Entitlement Date of the Rights Issue. A notice setting out the adjustments to the exercise price and number of Warrants 2008/2018 will be sent to the Warrant 2008/2018 holders within twenty-one (21) days from the adjustments of the Warrants 2008/2018.
