We refer to the previous announcements and the circular to shareholders dated 22 August 2024 in relation to the Proposals (“Circular”). Unless otherwise defined, the definitions set out in the Circular shall apply herein.
On behalf of the Board, UOBKH wishes to announce that the Vendor and Purchaser had, on 11 April 2025, entered into a supplemental letter to the SPA to, among others, extend the completion period of the SPA for a period of 7 days from 12 April 2025 to 18 April 2025 subject to the payment of interest by the Purchaser (“Supplemental Letter”).
In the event the Purchaser is unable to complete the SPA within the said period of 7 days, the Purchaser has the option to extend the completion period for a further period of approximately 4 months, from 19 April 2025 to 11 August 2025 subject to the payment of an extension fee and interest as stipulated in the Supplemental Letter.
If the Purchaser fails to fulfil the terms set out in the Supplemental Letter, the Vendor shall be entitled to terminate the SPA at any point in time.
