Following the announcement made on 7 March 2025 by Pentamaster International Limited (“PIL”), a subsidiary of the Company which is listed on HKSE, in relation to its proposed privatisation by way of the Scheme, withdrawal of listing on HKSE and proposed special dividend, the Board of Directors of PCB wishes to announce that PIL has on 18 March 2025 (Hong Kong time) released an announcement to HKSE on the following matters. Unless otherwise specified, capitalised terms used herein shall have the same meanings ascribed to them in the scheme document published by PIL on 5 February, 2025 in relation to the proposed privatisation and the Scheme.
(a) Scheme Effective Date
All of the Conditions have been fulfilled, and the Scheme became effective on Monday, 17 March, 2025 (Cayman Islands time).
(b) Withdrawal of Listing
It is expected that the withdrawal of listing of the Shares on HKSE will be effective from 4.00 p.m. on Wednesday, 19 March, 2025 (Hong Kong time).
(c) Payment under the Scheme
Cheques for payment of the Cancellation Price and the Special Dividend payable under the Scheme will be despatched to the Scheme Shareholders on or before Wednesday, 26 March, 2025.
(d) Change in board lot size
The board lot size of the Shares will be changed from 2,000 Shares to 800,000 Shares with effect from 9.00 a.m. on Tuesday, 18 March, 2025.
(e) Clarification
Due to inadvertent error, the Announcement and the Scheme Document contained a typographical error in relation to the shareholding of PCB in PIL. The total number of Shares held by PCB as at the date of the Announcement (the “Announcement Date”) and the Latest Practicable Date should have been 1,533,549,990 Shares (instead of 1,533,549,989 Shares), representing approximately 63.90% of the issued Shares. There have been no other change in the shareholding structure of PIL since the Announcement Date up to and including the date hereof.
