(Unless otherwise stated, all abbreviations used herein shall have the same meanings as those stated in the announcements dated 5 February 2024)

We refer to the announcements made on 5 February 2024, 26 March 2024, 29 March 2024, 5 April 2024 and 19 April 2024 in relation to the Offer.

The Board wishes to announce that SIGN has on 23 April 2024 received a press notice from AmInvestment Bank Berhad, on behalf of the Offeror, informing that as at 23 April 2024, the Offeror and its persons acting in concert ("PACs") hold (including SIGN Shares that are already acquired, held or entitled to be acquired or held by the Offeror and its PACs) in aggregate more than 50% of the voting shares in SIGN. Accordingly, the acceptance condition is met and the Offer has become unconditional on 23 April 2024 (“Unconditional Date”).

As the acceptance condition has been met prior to the 46th day from the posting date, the Offer shall remain open for acceptances until 5.00 p.m. (Malaysian Time) on Friday, 10 May 2024, which is at least 14 days from the Unconditional Date.

Holders who wish to accept the Offer are advised to refer to the Offer Document dated 19 April 2024 for the details, terms and conditions of the Offer and the procedures for acceptance of the Offer. Holders are also advised to carefully consider the Independent Advice Circular, to be despatched to the Holders by 29 April 2024, before making any decision.

Holders do not need to take any action if they decide not to accept the Offer.
