The Board of Directors of FIAMMA (“Board”) wishes to announce that the Company’s existing Auditors, Messrs KPMG PLT (“KPMG”) had informed the Board of their intention not to seek for re-appointment as the Auditors of the Company and KPMG shall hold office until the conclusion of the forthcoming Forty-First Annual General Meeting pursuant to Section 273(b) of the Companies Act 2016.

In replacement thereof, the Board with the recommendation from the Audit Committee which had reviewed the Management proposals, recommended the appointment of Messrs UHY as the new auditors of the Company for the financial year ending 31 December 2024, at a remuneration to be determined by the Directors (“Proposed Change of Auditors”).

The Proposed Change of Auditors is subject to the shareholders’ approval at the forthcoming Forty-First Annual General Meeting of the Company.
