(Reference is made to the Company’s announcement dated 12 October 2023 and 1 November 2023 in relation to the Proposals (“Announcements”), as well as the circular to shareholders in relation to the Proposals dated 28 February 2024 (“Circular”). Unless otherwise defined, the definitions used in this announcement shall have the same meaning as previously defined in the Announcements and Circular). On behalf of the Board, HLIB wishes to announce that following the fulfillment of all the conditions precedent stipulated in the Agreements on 14 March 2024 (“Unconditional Date”), the Proposals shall be deemed completed thirty (30) days after the Unconditional Date which falls on 13 April 2024. As such, we are pleased to announce that Amverton Prop, an indirect wholly-owned subsidiary of HIL, had on 13 April 2024 completed the acquisition of 100% equity interest in BCSB and the acquisition of AMMH Land. BCSB is now an indirect wholly-owned subsidiary of HIL. This announcement is dated 15 April 2024. |
