Unless otherwise defined, the definitions set out in the announcement dated 1 March 2024, the additional announcement dated 14 March 2024, the additional announcement dated 20 March 2024 and the additional announcement dated 27 March 2024 shall apply herein.

On behalf of the Board of Directors of JAKS, M&A Securities is pleased to announce that Bursa Securities had, vide its letter dated 9 April 2024 (“Approval Letter”), approved the listing and quotation of up to 303,688,000 new JAKS Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

1. JAKS and M&A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;
2. JAKS and M&A Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;
3. M&A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and
4. Payment of additional listing fee, if any, based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable.
