Unless otherwise defined, the definitions set out in the previous announcements in relation to the Proposals shall apply herein.
Reference is made to the announcement dated 22 March 2024 whereby M&A Securities had on behalf of the Board, announced that all the conditions precedent as set out in the SPA have been fulfilled. As such, the completion of the Acquisition as set out in the SPA is required to take place 10 business days following the fulfilment or waiver of the conditions precedent set out in the SPA (i.e. 1 April 2024), whichever is later (or such other date as may be agreed in writing between Iconic and the Vendors).
On behalf of the Company, M&A Securities Sdn Bhd wishes to announce that the parties to the SPA have mutually agreed to further extend the completion date of the SPA until 21 June 2024 to complete the Acquisition.
Save as disclosed above, there are no other variations to the terms and conditions of the SPA.
