We refer to the announcements dated 5 October 2023, 28 December 2023, 26 January 2024 and 5 February 2024 in relation to the Disposal (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that JKBD and URSB had on 21 March 2024 obtained the written approval of the State Authority for the transfer of the Land from JKBD to URSB. Therefore, all conditions precedent set out in the SPA have been obtained and fulfilled on 21 March 2024. Accordingly, the SPA has become unconditional on 22 March 2024 i.e., the business day after the day upon which all the conditions precedent have been obtained and fulfilled.
