Pursuant to Paragraph 9.19(19) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of the Company wishes to announce that GDComma Resources Joint Stock Company (“GDComma”), a subsidiary of the Company, had on 4 December 2023 obtained the approval of its shareholders to commence a Members’ Voluntary Liquidation of GDComma (“Liquidation”) pursuant to Articles 207.1(b) and 208.1 of the Law on Enterprises.

GDComma was incorporated on 25 February 2019 in Vietnam and its intended principal activity is provision of Information Technology outsourcing services.

GDComma is dormant and has no business operations. As there is no intention to activate the operations of GDComma, GDComma’s shareholders had agreed to the Liquidation.

The Liquidation will not have any effect on the Company’s issued share capital and substantial shareholders’ shareholdings. There shall be no material effect on the earnings and net assets of the Company for the financial year ending 31 December 2023. It is also not expected to have any operational impact on GDEX Group.

None of the Directors and/or major shareholders of GDEX or persons connected to them, has any interest, whether direct or indirect, in the Liquidation.
