1. Introduction

Leform wishes to announce that Leform Metal Sdn Bhd (“LMSB”), a 85%-owned subsidiary company of Leform, had on 23 November 2023, executed a contract with Nim Meng Group Co Ltd (“the Contract”) for the supply of highway guardrail products for the project name: National Road No. 5 Improvement Project, Package 4, The Royal Kingdom of Cambodia (the “Project”).

2. Information on Nim Meng Group Co Ltd

Nim Meng Group Co. Ltd is a private limited company incorporated in Cambodia and the business address is #81, St 217, Sangkat Rolus, Khan Dangkor, Phnom Penh, Cambodia. Nim Meng Group Co. Ltd is principally involved in highway, street and bridge construction.

3. Information on the Contract

LMSB will be supplying the highway guardrail products with the contract sum of USD 1,952,250 to Port Sihanoukville, Cambodia. The Contract is expected to commence from August 2024 and to be completed by December 2024.

4. Financial Effects

The Contract is expected to contribute positively to the revenue, earnings and net assets of Leform and its subsidiaries (“Leform Group”) for the financial years ending 31 December 2024.

The Contract will not have any impact on the share capital and/or shareholding structure of Leform.

5. Risk Factors

There are no any unforeseen risks in relation to the Contract as LMSB is merely supplying highway guardrail products to Nim Meng Group Co Ltd.

6. Approval Required

The Contract is not subject to the approval of shareholders of Leform or any relevant authorities.

7. Directors’ and/or major shareholders’ interests

None of the Directors and/ or Major Shareholders of Leform and persons connected to them has any interest, direct or indirect, in the Contract.
