Effect of the Proposed Acquisition and Proposed Subscription on the shareholdings of TGSB. 2. Net assets of TGSB Group, based on its latest audited financial statements. 3. The details of the ‘Option to Purchase’ in accordance to Appendix 10A of the ACE Market Listing Requirement. 4. In the event that there are no adverse findings discovered arising from the due diligence, to state the treatment of the Retention Sum. 5. The new ‘Cut-Off Date’ that has been agreed between the Parties. 6. To state the date on which the NA of TGSB Group shall not be less than RM16,000,00.00, and whether this figure is based on audited financial statements. 7.
