The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposed Acquisition. We refer to the earlier announcements dated 8 November 2022, 9 February 2023 and 12 July 2023. The Board of Directors of LYC wishes to announce that all the conditions precedent under the SSA have been fulfilled, and that the purchase consideration in accordance with the terms of the SSA has been satisfied to-date. Accordingly, the completion of the Proposed Acquisition has taken place on 29 September 2023.
