The Company wishes to announce that its indirect wholly-owned subsidiaries, Resorts World Las Vegas LLC and RWLV Capital Inc., have on 19 July 2023 (Eastern Standard time), priced their offering of US$400,000,000 aggregate principal amount of 8.450% Senior Notes due 2030 (“Notes”).

The Notes have been offered and sold (1) in the United States only to qualified institutional buyers in reliance on the exemption from the registration requirements of the United States Securities Act of 1933, as amended (“Securities Act”), provided by Rule 144A under the Securities Act, and (2) to certain non-U.S. persons in offshore transactions outside the United States in reliance on Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or any state or other jurisdiction’s securities laws. Accordingly, the Notes may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements under the Securities Act and any applicable state or other jurisdiction’s securities laws.

The Notes will have the benefit of a keepwell deed to be provided by GENT.
