(Unless otherwise defined, the definitions set out in the announcement in relation to the Proposals dated 30 December 2021 shall apply herein.)

Reference is made to the announcement dated 30 December 2021, 27 January 2022, 28 February 2022, 15 March 2022, 16 March 2022, 7 April 2022 and 18 April 2022 in relation to the Proposals.

On behalf of the Board, KAF IB wishes to announce that Bursa Securities had, vide its letter dated 25 April 2022, approved the application for the Proposed Withdrawal of Listing (“Decision Letter”).

In accordance with the Decision Letter, KAF IB is required to furnish Bursa Securities with a letter (“KAF IB’s Confirmation Letter”), confirming the following:-

(a) that the details of the shareholders of TTVHB, including their direct and indirect shareholdings (in numbers and percentage) as at 24 January 2022 as disclosed in KAF IB's letter dated 27 January 2022 remain unchanged as at the date of KAF IB's Confirmation Letter; and

(b) that the requirements of Rule 8.06(1) of the Listing Requirements have been complied with or waived by Bursa Securities, as the case may be.

Further, TTVHB is required to make an immediate announcement stating the following:-

(a) trading in TTVHB's shares will be suspended upon the expiry of five (5) market days from the date of Bursa Securities' receipt of KAF IB's Confirmation Letter; and

(b) the effective date of suspension.

The delisting of TTVHB will take place upon Bursa Securities' receipt of the following documents after trading in TTVHB's shares has been suspended:-

(a) confirmation from KAF IB that all conditions, including conditions imposed by the relevant authorities which are required to be met prior to the delisting have been met; and

(b) confirmation from KAF IB that there are no circumstances or facts which have the effect of preventing or prohibiting the delisting including any order, injunction or any other directive issued by any court of law.
